LICENSE AGREEMENT (this "Agreement"), between Slot One Entertainment, Inc.., a PA corporation (the "Licensee"), and the person named as Licensor below ("Licensor").

Licensee intends to produce a promotional compact disc or discs containing musical compositions by artists featured on its web site. Licensor has produced and is the owner of the musical composition identified below (the "Composition"). Licensor desires to license Licensee on a royalty-free basis to include the Composition in promotional recorded music compilations and Licensee desires to receive such license, in accordance with the terms set forth herein.

Licensee intends to stream videos containing musical compositions by artists featured on its web site. Licensor has produced and is the owner of the musical composition identified below (the "Composition"). Licensor desires to license Licensee on a royalty-free basis to include the Composition in promotional music videos and Licensee desires to receive such license, in accordance with the terms set forth herein.

TERMS AND CONDITIONS

License. Licensor hereby grants to Licensee the non-exclusive, royalty-free, transferable, perpetual and world-wide right and license (the "License") to use, in whole or in part, the Composition, its lyrics and images of Licensor (collectively, the "Licensed Rights") in the recording, manufacture and sale of all recorded music formats (e.g., mp3s, compact discs and cassettes); provided that the Licensed Rights may only be in not for sale promotional compilations of recorded music by artists that have been or presently are listed on Licensee's web site.

Grant of License. You hereby grant to Slot One Entertainment, Inc., its successors, assigns, agents, distributors and licensees at no charge the right and license, throughout the universe to (i) prepare "samplers" of any or all of the Materials for promotional purposes, and prepare one or more compilations containing any or all of the Materials, which may be combined with third party products; and (ii) display, copy, reproduce (and to mechanically reproduce each musical composition included in the Materials), exhibit, publicly perform, broadcast, rebroadcast, transmit, retransmit, distribute through any electronic means, electronically publish and synchronize with visual images any or all of the Materials (including the foregoing samplers and compilations), by any and all means and media now known or hereafter devised, discovered or developed, with the exception of standard audio-only compact discs and audio-only cassettes manufactured primarily for home entertainment as opposed to computer data and broadcast formats. Notwithstanding the foregoing, Slot One Entertainment, Inc. shall have the right from time to time to couple data format copies of Materials with sound recordings of other artists, as well as audiovisual works and multimedia materials of theirs, in promotional "sampler" compact discs reproducing sound, audiovisual works and/or multimedia materials. Slot One Entertainment, Inc., and persons authorized by Slot One Entertainment, Inc., may manufacture, distribute, reproduce, copy, publicly perform, and otherwise exploit such compact discs in any manner so long as such compact discs are not sold to the public by Slot One Entertainment, Inc.. Your sound recording(s) to be included in that promotional compact disc shall be mutually determined by Slot One Entertainment, Inc. and you. Slot One Entertainment, Inc. shall inform you of the proposed track listing of such compact disc and you shall have the right to approve or deny including your recording in such compact disc based on that track listing.

Representations, Warranties and Agreements of the Licensor. Licensor hereby represents and warrants to Licensee: This Agreement is the valid and binding obligation of Licensor, enforceable against Licensor in accordance with its terms. The execution, delivery and performance by Licensor of this Agreement and compliance with the provisions hereof by Licensor, will not (i) violate any law applicable to Licensor or any judgment or decree of any court or other governmental body applicable to Licensor's properties or assets or (ii) violate in any way an agreement made by Licensor. Licensor is the only owner of the Licensed Rights, free and clear of any interest of any third Person. Licensor has not misappropriated or infringed the copyrights of any third person with respect to the Licensed Rights and no litigation, or other proceeding or investigation is pending or threatened that alleges that the Licensed Rights misappropriates or infringes on any third person's copyrights. Licensee agrees that Licensor has no obligation to include the Licensed Rights on any promotional compact disc nor to return any materials delivered to Licensee by Licensor.
